Services

Six disciplines. One continuous conversation.

We guide you in every stage of your partnering process, from sharpening positioning, through structured outreach, to negotiated agreement. Senior-led, hands-on, and always moving forward.

Pipeline expansion

In-licensing

Bring the right external assets into your pipeline, evaluated and structured for long-term value.

We work with R&D and commercial companies looking to expand their portfolio with externally sourced assets that fit a clearly defined pipeline strategy. Our process starts before the asset list does: we sharpen the criteria, define what the "right fit" actually means, and only then go to market.

From scouting through due diligence to term-sheet negotiation, we guide the process with senior judgement and the relationships needed to access assets that aren't always on the public radar. We ensure to provide you with a well-researched target list and aim to convert one of them into a closed deal.

A Deliverables
  • BD strategy sessions
  • Curated asset shortlist
  • Commercial diligence reports including forecasts and competitive landscapes
  • Term sheet negotiations advice
  • Deal Closing
B Best fit for
Mid to large cap pharma and biotech with active business development mandates seeking pipeline expansion or therapeutic-area diversification.

Out-licensing

Maximise the value of your asset through positioning, structured outreach, and disciplined negotiation.

The right partner isn't always in plain sight. We translate strong science into a clear value proposition, identify the partners for whom your asset is genuinely strategic, and run a structured outreach process that creates competitive tension without burning relationships.

We look beyond the traditional top-50 pharma and identify those partners that have the cash flow and abilities to bring your medicine to the patient.

A Deliverables
  • Positioning & messaging advice
  • Curated, ranked partner list
  • Outreach campaign with live tracking
  • Term sheet negotiation guidance
  • Closing support alongside legal counsel
B Best fit for
Biotech in all development stages that are ready for partnering, co-development, or regional out-licensing.
Typical engagement: 6-12 months

Capability access

Research collaborations

Joint research agreements that align scientific milestones with commercial outcomes.

Research collaborations let you access external expertise, technology platforms, or therapeutic-area insight without the structural commitment of a full licensing or co-development deal. Done well, they extend your capabilities and de-risk early discovery.

We help structure agreements where milestones, data rights, IP, and economics are aligned with your scientific roadmap from day one.

A Deliverables
  • Collaboration framework & objectives
  • Partner identification & introductions
  • Scope, milestone & guard future licensing options
  • Research agreement neogtiation support
B Best fit for
Discovery-stage biotechs, platform companies, and pharma with specific R&D capability gaps or platform validation goals.
Typical engagement: 2–6 months

Shared risk & reward

Co-development

Shared-risk, shared-reward development partnerships built to preserve control and maximize value.

Co-development partnerships allow two parties to share the cost, risk, and upside of advancing an asset, typically through (pre)-clinical milestones into commercialisation. The promise is significant but the structure of the deal is challenging. Most deals that fail in execution were under-designed at signing.

We help design governance, decision rights, cost-sharing, and exit mechanics from the start, so the partnership performs through potential disagreements about trial design, timing, and regional rights. The goal isn't a perfect contract but a clear set of rules for the conversations that matter most.

A Deliverables
  • Deal-structure design & economic modeling
  • Governance & decision-rights framework
  • Negotiation support
  • Joint steering committee setup
B Best fit for
Biotechs with promising (pre)clinical assets and pharma seeking de-risked late-stage development through structured cost and risk sharing.
Typical engagement: 10-12 months

Buy-side & sell-side

M&A advisory

Buy-side and sell-side advisory for life-sciences M&A

We represent biotechs and life-sciences companies on both sides of M&A transactions, strategic acquisitions, asset divestitures, mergers, and full-company sales. We execute from first conversation through the closing dinner, with the depth of life-sciences judgement that distinguishes a good outcome from a fair one.

Each engagement is structured around the specific dynamics of your asset, your stage, and the small number of counterparties for whom the deal is strategic. The aim is not just the highest bid, it's the right partner, the right structure, and a closing that holds together.

A Deliverables
  • List of strategic review & transaction options
  • Buyer / target identification & screening
  • Outreach & process management
  • Diligence coordination across workstreams
  • Negotiation & closing advice
B Best fit for
Companies considering a sale, asset divestiture, strategic acquisition, or merger.
Typical engagement: 12-15 months

Fundraising

Translate strong science into a fundable narrative, and reach the investors for whom it's a strategic fit.

The capital markets are gaining traction after successful exits and M&A's in Q4 2025. From Series A through more mature rounds, we guide biotech companies improving their value proposition, identify the right strategic and financial investors, and run a process that delivers the a future-proof cap table, not simply the highest valuation.

We sharpen positioning, refine the deck and data room, manage the investor process, and guide throughout the term-sheet negotiation. We treat fundraising as a partnering exercise: the investors who join your cap table will sit in your boardroom for years. The composotion of that table matters as much as the size of the round.

A Deliverables
  • Investor positioning & value proposition sharpening
  • Deck & data-room refinement
  • Curated investor list with potential targets
  • Process management & investor introductions
  • Term-sheet negotiation guidance
B Best fit for
Biotechs raising Series A and beyond and founders seeking strategic capital.

*Please note we are a networking advisor, not a broker-dealer.

How we work

A typical engagement, mapped over time.

Most BD processes don't run as a clean sequence. They overlap, loop, and accelerate. Here's how an ideal out-licensing or M&A engagement actually unfolds, phases overlap because the work runs in parallel.

W28+
Phase 01
Discovery & positioning
W1–3

We dive in your science, strategy, and current partnering materials. Outcome: a sharpened value proposition and a clear partnering thesis the rest of the collaboration is built on.

Phase 02
Network mapping & targeting
W2–5

We build a reviewed list of high-value targets: companies, divisions, and the specific decision-makers who matter, based on your asset, stage, and strategic fit.

Phase 03
Outreach & conversations
W3–12

Structured outreach to decision-makers. Live tracking of every conversation in a shared pipeline. Weekly update of what we're observing in the field, so positioning and process can adapt to signals we see in the market.

Phase 04
Diligence & term sheet
W8–20

We coordinate scientific, commercial, and operational diligence with interested counterparties, and lead the term-sheet negotiation alongside your team and counsel.

Phase 05
Definitive agreement & close
W16–32

Closing support alongside your legal counsel, focused on the commercial terms, the governance, and the operating relationship that will define the partnership long after signing.

Note — timelines vary materially by deal type and counterparty. Research collaborations can close in two months; complex M&A processes regularly run twelve. The structure above is indicative, not a promise. What we do promise is full senior attention from week one through week last.
